Welcome to TripGuru.ai. These Terms of Service ("Terms") constitute a legally binding agreement between you and TripGuru, Inc., a Nevada corporation with its principal place of business in Las Vegas, Nevada, United States ("TripGuru," "Company," "we," "our," or "us"), governing your access to and use of our websites, software applications, APIs, travel operating systems, AI-powered platforms, agent portals, booking systems, payment enablement services, supplier connectivity services, white-label solutions, and all related products and services (collectively, the "Services").

By accessing, registering for, purchasing, integrating with, or using any portion of the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are using the Services on behalf of a company, organization, government entity, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

If you do not agree with these Terms, you must immediately discontinue use of the Services.

1. INTRODUCTION TO TRIPGURU

TripGuru operates a global travel technology platform designed to serve travel agencies, tour operators, destination management companies, hotels, transportation providers, attractions, payment providers, enterprise customers, AI developers, online travel agencies, and other participants in the global tourism ecosystem.

Our platform may provide access to travel inventory, reservations, booking systems, itinerary management, supplier connectivity, artificial intelligence tools, customer service automation, travel recommendations, business intelligence solutions, payment technologies, agentic commerce capabilities, white-label platforms, API integrations, and operational software solutions.

TripGuru functions primarily as a technology provider and platform operator. Except where expressly stated, TripGuru is not the owner, operator, provider, or guarantor of the underlying travel products, transportation services, accommodations, tours, attractions, or third-party services offered through the platform.

2. ELIGIBILITY AND AUTHORITY

The Services are intended for use by individuals who have reached the age of majority in their jurisdiction and by legally authorized business entities. By using the Services, you represent and warrant that you possess the legal capacity to enter into binding agreements and that all information provided to TripGuru is accurate, complete, and current.

Where the Services are accessed on behalf of a business entity, the individual using the Services represents and warrants that he or she possesses the authority to legally bind such entity.

TripGuru reserves the right to suspend, reject, or terminate accounts where eligibility requirements are not satisfied or where information provided appears inaccurate, incomplete, misleading, or fraudulent.

3. ACCOUNT REGISTRATION AND SECURITY

Certain Services require account registration. Users are responsible for maintaining the confidentiality and security of all login credentials, authentication methods, API keys, tokens, passwords, and account access mechanisms associated with their accounts.

You are solely responsible for all activities occurring under your account, whether authorized by you or not. If you suspect unauthorized access, credential compromise, security breaches, or misuse of your account, you must notify TripGuru immediately.

TripGuru reserves the right to suspend or disable accounts if we reasonably believe account security has been compromised or if account activity poses risks to the platform, other users, or the Company.

4. DESCRIPTION OF SERVICES

TripGuru continuously develops and enhances its technology platform. The Services may include software-as-a-service offerings, AI-powered travel assistants, travel operating systems, booking engines, API connectivity, supplier management systems, agent portals, customer support automation, payment enablement technologies, recommendation engines, workflow automation tools, and data analytics solutions.

The exact features, functionality, availability, and performance of the Services may vary by customer, jurisdiction, subscription level, contractual arrangement, integration configuration, or technical environment.

TripGuru reserves the right to modify, enhance, discontinue, replace, suspend, or update any portion of the Services at any time without liability.

5. TRAVEL BOOKINGS AND THIRD-PARTY SERVICES

The TripGuru platform may facilitate access to travel products and services offered by third-party suppliers, including airlines, hotels, transportation companies, cruise operators, tour operators, activity providers, attraction operators, insurance providers, and destination management companies.

All bookings, reservations, purchases, and travel arrangements remain subject to the terms, conditions, policies, availability, pricing, restrictions, and operational decisions of the applicable supplier.

TripGuru does not control and cannot guarantee the availability, quality, safety, legality, accuracy, performance, or fulfillment of third-party travel services.

Any disputes arising from travel services, including cancellations, delays, schedule changes, overbookings, supplier insolvency, force majeure events, service interruptions, or travel disruptions, remain subject to the policies and responsibility of the applicable supplier.

TripGuru's role is generally limited to providing technological infrastructure, connectivity, and transactional support.

6. ARTIFICIAL INTELLIGENCE SERVICES

TripGuru offers AI-powered products and services designed to assist users with travel planning, customer support, booking management, itinerary generation, recommendations, operational automation, analytics, and business workflows.

Artificial intelligence systems inherently involve probabilistic outputs and may occasionally generate inaccurate, incomplete, outdated, or inappropriate information. Users acknowledge that AI-generated responses should not be relied upon as the sole basis for business, financial, legal, regulatory, safety-related, or travel-related decisions.

Users remain solely responsible for reviewing, verifying, and independently evaluating AI-generated content before acting upon it.

TripGuru expressly disclaims liability arising from reliance on AI-generated outputs, recommendations, forecasts, analyses, itineraries, or automated decisions.

7. CUSTOMER DATA AND CONTENT

Users may upload, submit, transmit, store, process, or otherwise provide information, content, documents, images, videos, audio recordings, travel data, customer information, booking records, operational information, prompts, workflows, and other materials through the Services.

Users retain ownership of their respective content and data. However, by submitting content to the Services, users grant TripGuru a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce, analyze, and utilize such content solely for purposes of operating, securing, maintaining, improving, and providing the Services.

Users represent and warrant that they possess all necessary rights, permissions, consents, and legal authority required to provide such content to TripGuru.

Users further agree not to upload content that infringes intellectual property rights, violates laws, contains malicious code, promotes unlawful activity, or otherwise creates legal or operational risks.

8. INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in and to the Services, including software, source code, APIs, databases, algorithms, machine learning models, documentation, interfaces, trademarks, trade names, service marks, copyrights, designs, inventions, business processes, workflows, and proprietary technologies remain the exclusive property of TripGuru and its licensors.

Nothing in these Terms transfers ownership of TripGuru intellectual property to any user.

Except as expressly authorized in writing, users may not copy, reproduce, distribute, modify, reverse engineer, decompile, disassemble, create derivative works from, sublicense, lease, sell, transfer, or otherwise exploit any portion of the Services.

9. ACCEPTABLE USE

Users agree to use the Services responsibly and lawfully.

Users may not use the Services to engage in fraudulent conduct, unlawful activities, intellectual property infringement, unauthorized data collection, spamming, cybersecurity attacks, harassment, deceptive practices, sanctions violations, export control violations, or activities that interfere with the operation, security, stability, or reputation of the Services.

TripGuru reserves the right to investigate suspected violations and take appropriate actions, including suspension, termination, reporting to authorities, and pursuit of legal remedies.

10. FEES, BILLING, AND PAYMENT

Certain Services require payment of fees pursuant to subscription plans, enterprise agreements, statements of work, order forms, usage-based pricing schedules, API consumption metrics, transaction-based pricing, or other commercial arrangements.

Unless otherwise agreed in writing, all fees are quoted and payable in United States Dollars.

Invoices are due according to the payment terms specified in the applicable agreement. Late payments may result in service suspension, interest charges, collection efforts, account restrictions, or termination.

Except where prohibited by law or expressly agreed otherwise, all fees are non-refundable.

Users are responsible for all taxes, duties, assessments, withholding obligations, and governmental charges arising from their use of the Services.

11. AVAILABILITY AND SERVICE LEVELS

TripGuru strives to maintain reliable and secure Services but does not guarantee uninterrupted availability.

The Services may be temporarily unavailable due to maintenance, upgrades, security incidents, force majeure events, supplier outages, telecommunications failures, internet disruptions, cyberattacks, governmental actions, or circumstances beyond TripGuru's reasonable control.

Unless expressly stated in a separately executed Service Level Agreement ("SLA"), the Services are provided without guaranteed uptime commitments.

12. CONFIDENTIALITY

During the course of business relationships, either party may disclose confidential, proprietary, technical, commercial, operational, financial, or strategic information.

Each party agrees to protect such confidential information using reasonable care and to use such information solely for purposes related to the Services and applicable agreements.

Confidentiality obligations shall survive termination of the relationship for a period of five (5) years following disclosure, except for trade secrets, which shall remain protected for so long as they retain trade secret status under applicable law.

13. DISCLAIMERS

The services are provided on an “as is,” “as available,” and “with all faults” basis.

To the maximum extent permitted by law, TripGuru disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, performance, availability, or results.

TripGuru does not warrant that the services will be error-free, uninterrupted, secure, or free from harmful components.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, TripGuru shall not be liable for any indirect, incidental, special, exemplary, consequential, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or procurement of substitute services.

In no event shall TripGuru’s total aggregate liability arising out of or relating to the services exceed the total fees paid to TripGuru by the customer during the twelve (12) months immediately preceding the event giving rise to the claim.

Certain jurisdictions may not allow certain liability limitations; in such cases, liability shall be limited to the maximum extent permitted by law.

15. INDEMNIFICATION

Users agree to defend, indemnify, and hold harmless TripGuru, its affiliates, directors, officers, employees, contractors, licensors, partners, and agents from and against any claims, liabilities, damages, losses, judgments, settlements, penalties, costs, and expenses arising from the user's conduct, content, data, integrations, misuse of the Services, violation of these Terms, violation of laws, or infringement of third-party rights.

16. TERMINATION

TripGuru may suspend or terminate access to the Services at any time if a user violates these Terms, engages in prohibited conduct, creates security risks, fails to pay required fees, or otherwise creates legal, operational, reputational, or business concerns.

Users may discontinue use of the Services at any time, subject to any contractual obligations or subscription commitments.

Termination shall not relieve either party of obligations accrued prior to termination.

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in Clark County, Nevada, unless otherwise required by applicable law.

The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding upon the parties.

18. CHANGES TO THESE TERMS

TripGuru reserves the right to modify, update, amend, or revise these Terms at any time. Updated versions will become effective upon posting unless otherwise specified.

Continued use of the Services following publication of revised Terms constitutes acceptance of the updated Terms.
